Terms governing the use of 2CLICK software and related services.

Company Information
2CLICK is developed and maintained by SIMTEQ A/S, an IT company specializing in hosting and developing automation and add-on solutions for ERP systems.
Our software and services are exclusively offered to registered business clients with valid VAT numbers.
Application
These standard terms apply to all agreements between SIMTEQ A/S (including subsidiaries) and the customer, unless otherwise agreed in writing.
Invoicing and Payment
Invoices are issued by SIMTEQ A/S.
Software licenses are billed annually in advance.
If payment is delayed more than 14 days after the due date, SIMTEQ A/S may suspend access to the software or terminate the license. Reinstatement requires full payment, including any accrued fees and interest.
Prices
SIMTEQ A/S reserves the right to adjust prices with a minimum notice of three months or at the end of the current subscription period.
Duration and Termination
Licenses are valid for one year and automatically renewed unless terminated in writing at least 30 days before the renewal date.
SIMTEQ A/S may terminate agreements with 90 days’ notice. In case of termination by SIMTEQ A/S, prepaid fees are refunded proportionally.
Customers may terminate the agreement with 30 days’ notice if major adverse changes occur in the terms.
Upon license agreement termination, customers are responsible for exporting their data within 3 months after system access is closed – data is then deleted. Data exports are invoiced at DKK 1,000 per hour.
Liability
SIMTEQ A/S is only responsible for its own services and actions. SIMTEQ A/S is not responsible for matters related to 3rd parties and / or the customer.
SIMTEQ A/S is not liable for indirect losses such as operational downtime or data loss.
Total liability is limited to 50% of the annual license fee for the relevant subscription period.
Data ownership and Protection
All customer data remains the property of the customer.
SIMTEQ A/S acts solely as a data processor and complies with the EU General Data Protection Regulation (GDPR). Confidential information will not be disclosed or used for purposes other than agreed.
Service Updates and Maintenance
2CLICK is continuously updated to ensure performance, security, and compliance.
Functional changes or new features may be introduced as part of ongoing improvement.
Force Majeure
SIMTEQ A/S is not liable for delays or non-performance due to force majeure events such as natural disasters, strikes, war, or other circumstances beyond reasonable control.
Disputes
These terms are governed by Danish law.
Any dispute shall be settled by the Court of Roskilde, Denmark.
